Terms of Use

These Terms of Use govern your access to and use of The Journal of Securities & Investment Operations website at ioinsight.net, its newsletters, research papers, research notes, training courses, implementation checklists, and related content (together, the "Service"), published by Investment Operations Insight LLC (the "Publisher," "we," or "us"). By using the Service or creating an account, you agree to these Terms. If you do not agree, do not use the Service.

1. Accounts

Creating an account requires a valid email address. You are responsible for keeping access to your account secure and for all activity under it. An individual account belongs to one named person and may not be shared, transferred, or used by anyone else. Access for more than one person requires an Enterprise subscription.

2. Individual subscriptions

Paid individual subscriptions are billed annually in advance at the price shown when you subscribe, and renew automatically each year until cancelled. You may cancel at any time from your account page; cancellation takes effect at the end of the paid year, and access continues until then. Payments are processed by Stripe under its own terms; the Publisher does not store payment card details. We may change prices on at least thirty days' notice by email, and a change applies from your next renewal after the notice period.

3. Enterprise subscriptions

Enterprise subscriptions are governed by these Terms together with the order form or agreement signed by the subscribing organization. Where the two conflict, the order form or agreement governs. The organization is responsible for ensuring that only the named users in its licensed group use the seats assigned to it.

4. Your license to use the content

Subject to these Terms, the Publisher grants you a limited, non-exclusive, non-transferable, revocable license to access the content available to your subscription and to use it for your own professional and internal business purposes. Enterprise subscribers may circulate content within the licensed group named in their order form. You may quote brief passages with attribution in the ordinary course of professional work, as described on the Permissions and Reprints page.

5. Restrictions

Except as expressly permitted by these Terms, an Enterprise order form, or the Publisher's prior written authorization, no portion of the Service or its content may be copied, reproduced, shared, transmitted, distributed, sold, sublicensed, publicly displayed, or used to create derivative works by any means. In particular, you may not:

•        Share account access, or forward downloaded files or member emails, to anyone outside your licensed group.

•        Post content on any publicly accessible website, repository, or file-sharing service.

•        Systematically download, scrape, crawl, or extract content, or use automated means to access the Service other than through standard web browsers and email clients.

•        Remove or alter copyright, attribution, date, or proprietary notices.

•        Circumvent any access control or use another person's account.

6. Artificial-intelligence restrictions

Content from the Service may not be submitted, uploaded, disclosed, or otherwise made available to any publicly accessible artificial-intelligence system, including large language models or comparable services, where the material could be used for training, retained by the system, disclosed to third parties, or made accessible to other users. Content may not be used to train, fine-tune, or evaluate any machine-learning or artificial-intelligence model, or to build any dataset or retrieval system for use outside your licensed group, without a written license from the Publisher. Use within an access-controlled system operated by or for your organization, under terms that prohibit the provider from training on, retaining, or disclosing the content, and available only to persons covered by your subscription, is permitted.

7. Intellectual property

The content, design, text, figures, tables, trademarks, and logos of the Service are owned by Investment Operations Insight LLC or its licensors and are protected by copyright and other intellectual property laws. The Journal of Securities & Investment Operations, JoSIO, Investment Operations Insight, and their logos are marks of Investment Operations Insight LLC. Nothing in these Terms transfers ownership of any of them to you.

8. Nature of the content; no advice

The Service contains research, analysis, and opinions developed by Investment Operations Insight LLC. Such content represents professional judgment and should not be treated as verified statements of fact. Although reasonable efforts are made to ensure that the information is reliable, all content and recommendations are provided solely for informational and advisory purposes. Each paper speaks as of the date it carries. The Publisher does not provide legal, financial, tax, or investment advice, and nothing in the Service should be interpreted or relied upon as such advice. You are responsible for decisions you make using the content and should obtain professional advice appropriate to your circumstances.

9. Disclaimer of warranties

The Service and its content are provided "as is" and "as available." To the fullest extent permitted by law, the Publisher disclaims all warranties, express or implied, including warranties of accuracy, completeness, sufficiency, suitability, merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, the Publisher and its members, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or relating to the Service, even if advised of the possibility of such damages. The Publisher's total liability for any claim relating to the Service shall not exceed the amount you paid the Publisher in the twelve months before the claim arose.

11. Comments and correspondence

If the Service allows comments, you keep ownership of what you post and grant the Publisher a non-exclusive, royalty-free, perpetual license to display, reproduce, and moderate it in connection with the Service. You may not post content that is unlawful, defamatory, infringing, confidential to anyone else, or promotional. The Publisher may remove comments and suspend commenting at its discretion. Corrections and comments you send by email may be quoted in a correction notice without identifying you unless you agree.

12. Suspension and termination

The Publisher may suspend or end your access, without refund, if you breach these Terms, including by sharing access or redistributing content. You may end your account at any time. Sections 5 through 10 and 13 through 15 survive termination.

13. Changes

The Publisher may change, suspend, or discontinue any part of the Service. The Publisher may revise these Terms; material changes will be announced by email to members or by notice on the Service at least fourteen days before they take effect. Continuing to use the Service after that date means you accept the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. Any dispute arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware County, Pennsylvania, and you consent to their jurisdiction.

15. General

These Terms, together with the Privacy Policy and any Enterprise order form, are the entire agreement between you and the Publisher about the Service. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms; the Publisher may assign its rights to a successor.
